Company Penalised for Not Displaying its name at Registered Office

The Registrar of Companies (ROC), Ranchi, has imposed a penalty on a company and its two directors for violating provisions related to the display of company information under the Companies Act, 2013.

The company, Mother’s Wish Pvt Ltd, was found to be violating section 12 of the Companies Act, which requires companies to display their name, registered office address, and contact details (including CIN, phone, email, and website) outside every office, on their seal, and on all official publications, business letters, and documents.

The said violation was detected during an investigation conducted under Section 206(5) of the Companies Act, 2013, during which it was found that the company had failed to display its name board at the registered office and had not mentioned mandatory details on its business documents. The violation was related to Section 12(3)(a), Section 12(3)(c), and Section 12(2) of the Companies Act read with Rule 25 of the Companies (Incorporation) Rules, 2014.

For violating the relevant provisions of Section 12 of the Companies Act, the ROC levied a penalty of Rs 50,000 on the company and Rs 50,000 each on its two directors. The ROC directed the company’s directors to correct the default and pay the penalty amount within 90 days through the ‘e-Adjudication’ facility on the MCA portal. The officers were directed to pay the penalty amount from their personal sources.
