cadeepakgupta.com (“the Site”) is operated by Studycafe Pvt Limited and offers online courses, workshops, memberships, books, and other learning products and services by CA Deepak Gupta and Studycafe for sale. Other information and content available on the Site is provided on a volunteer/informational basis. Users of this Site have varying levels of knowledge; we do not certify the accuracy of any information, nor do we certify that any level of expertise relevant to that information has been met.

Your access to and use of cadeepakgupta.com (the “Site”) is governed by these Terms of Use and the disclaimer clause on the site, and any notices and consent provided or obtained in connection with the Site (collectively, the “Agreement”). As used in this Agreement, “We”, “Us”, or “Our” refers to Studycafe Pvt Limited, its members, and designers/developers, operating the Site under the CA Deepak Gupta brand. “You” or “Your” refers to you, the user or customer of this Site.

The information available on this Site, including, without limitation, reviews, opinions, directions, guides, graphics, photographs, logos, audio or video clips, course/product descriptions, and data (collectively “Content”) is not a substitute for any type of professional advice, including, without limitation, financial, tax, or legal advice. Always seek the advice of an appropriate professional and never disregard professional advice or delay in seeking it because of Content on this Site. We do not certify or endorse the Content on this Site, including without limitation any opinion, recommendation, advice, or any other information contained in the Content.

WE ARE NOT RESPONSIBLE FOR HARM TO PERSONS OR PROPERTY THAT RESULTS FROM YOUR USE OF THE SITE, INCLUDING WITHOUT LIMITATION, USE OF ANY CONTENT, COURSE, OR PRODUCT PURCHASED ON THE SITE.

Agreement to Deal Electronically

Your use of the Site, including placing orders and making payments, is conducted electronically, and you agree that we may communicate with you electronically for all aspects of your use of the Site, including order confirmations, invoices, course-access details, and other electronic notices. If you do not wish to deal electronically, do not use this Site. Delivery of electronic notices is not infallible, so you agree to contact us if you need information about the Site or your order. You agree to keep all records relating to your use of the Site and to print or make an electronic copy of this Agreement, your invoices, and any disclosures provided on the Site.

Changes to this Agreement

The Site is like a store: every time a customer enters a store the customer is bound by the rules in effect on the date of the customer’s visit. Similarly, at this Site, you are bound by the version of this Agreement that is in effect on the date of your visit or purchase. The terms of this Agreement may change from time to time, so please review it when you visit the Site. Any use of the Site, or placement of an order, after the effective date of any change will constitute your consent to the revised Agreement.

Protect Your Password: You Authorize All Uses Made Of It

You are responsible for maintaining the confidentiality of the password that you choose to access and use the Site (“Account”). Subject to applicable law, you agree to be liable for all uses of your Account whether or not actually authorized by you, including but not limited to uses of your Account to place orders, access purchased courses, or submit and answer questions through the Site. Do not supply your password to anyone who is not authorized to act for you.

We may use your email address and other information you provide, including order and purchase information, for the purposes we consider fit, subject to our Privacy Policy.

License to Use the Site

We hereby grant you a limited, non-transferable license to access and use the Site and Content, and to use any purchased courses, workshops, or books solely for your own personal or professional learning. Except for this license, we retain all right, title, and interest in and to the Site and Content. We reserve the right to suspend or deny, at our sole discretion, your access to all or any portion of the Site with or without notice. You may access and print copies of the web screens from this Site, including a copy of this Agreement, for your personal use. Permission to reprint, redistribute, resell, or electronically reproduce any Content or purchased course material in whole or in part for any other purpose is expressly prohibited, unless prior written consent is obtained from us. The Content on this Site is protected by copyright under both Indian and foreign laws. All rights not expressly granted herein are reserved to us and our licensors.

This license does not include permission to copy the design elements, look and feel, or layout of this Site. Those elements are protected by law and may not be copied or imitated in any manner.

Rules Relating to Services

If you use the services, you are solely responsible for communications, orders, and content posted by you or through your Account. You agree that violation of any of the following rules constitutes a material breach of this Agreement:

• Using the Service for any purpose in violation of local, state, national, or international laws;
• Providing false information on your registration or order form, or impersonating any person;
• Posting material that infringes on the intellectual property rights of others or on the privacy or publicity rights of others;
• Posting or transmitting any unlawful, harmful, threatening, abusive, invasive of privacy, harassing, defamatory, vulgar, obscene, hateful, racist, or otherwise objectionable material as determined by us in our sole discretion;
• Posting or transmitting any unsanctioned advertising, promotional materials, spam, or unsolicited mass distribution of email;
• Posting surveys, contests, or pyramid schemes;
• Distributing viruses, corrupted files, or similar software that may damage another’s computer;
• Collecting or storing personal data about other users of the Site;
• Attempting to resell, redistribute, or share access credentials to any paid course, membership, or product purchased on the Site without authorization;
• Engaging in any other conduct that inhibits any other person from using or enjoying the Site, or any other behaviour which, in our sole discretion, is unacceptable.

We may (but are not obligated) to remove Content, cancel orders, or suspend accounts for any reason, with or without notice to you, and terminate your access to the Site.

License to Submissions to the Site

Should you provide this Site with information, including postings, feedback, reviews, data, questions, comments, or suggestions (“Submissions”), those Submissions will be deemed not to be confidential. You grant us a royalty-free, perpetual, irrevocable, worldwide license to use, copy, reproduce, create derivative works from, adapt, modify, publish, edit, translate, distribute, and display the Submissions without limitation and in any media or form now known or later developed.

Copyright Infringement Notification & Other Reports

We rely on users of the Site to bring copyright violations to our attention. If you are aware of infringing materials on the Site, please notify us at contact@studycafe.in with:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right allegedly infringed;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the material claimed to be infringing, and information reasonably sufficient to allow us to locate it;
• Your contact information (address, telephone number, and email);
• A statement of good faith belief that the use complained of is not authorized; and
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights owner.

ALL INQUIRIES NOT IN COMPLIANCE WITH THE ABOVE NOTICE AND PROCEDURE WILL RECEIVE NO RESPONSE.

Your Representations & Warranties

You represent and warrant that: (a) you are at least 18 years of age, or have obtained verifiable parental consent to use this Site and make purchases on it; (b) you possess the legal right and ability to enter into this Agreement; (c) all information you submit, including at checkout, is true and accurate; (d) you will keep your account information current; (e) you will be responsible for all use of your Account, even if unauthorized; (f) you will not use the Site for any unlawful purpose; and (g) all Submissions are owned by you and do not infringe any third-party rights.

Indemnity

You agree to defend, indemnify, and hold harmless Studycafe Pvt Limited, its members, officers, directors, employees, agents, licensors, and suppliers, from and against all claims, actions, or demands, liabilities, and settlements, including reasonable legal and accounting fees, arising in connection with your use of the Site, your orders or purchases, or your violation of this Agreement.

Disclaimers of All Warranties and Duties

THIS SITE, ALL CONTENT, AND ALL PRODUCTS AND SERVICES OFFERED ON IT ARE PROVIDED “AS IS,” “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. We give no express warranties and disclaim all implied warranties, including merchantability, fitness for a particular purpose, availability of the Site, absence of viruses or harmful code, and accuracy, completeness, reliability, timeliness, or usefulness of any Content, course, or product on the Site. The entire risk as to satisfactory quality, performance, accuracy, and effort in connection with the Site and Content is with you. We disclaim any warranties of non-infringement, title, or quiet enjoyment.

As a convenience, we may provide links to third-party websites from the Site, including payment gateways and logistics/courier partners. We are not responsible for and do not endorse the content, products, or services of any third-party website. Your use of third-party websites is at your own risk and subject to their own terms.

Limitation of Liability and Remedies

IN NO EVENT WILL WE OR OUR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES arising out of or in connection with the use or performance of this Site, any order, course, or product purchased through the Site, or this Agreement, even if we have been advised of the possibility of such damages.

Your exclusive remedy for all of the foregoing will be limited to discontinuing your use of the Site (subject to your rights under our Refund & Returns Policy for eligible orders). If a court of competent jurisdiction determines that you are entitled to direct damages, our liability will not exceed Rs 200.00 (Rupees Two Hundred only), or, where a specific order or product is in dispute, the amount actually paid by you for that order, whichever is lower. You acknowledge that this provision is fair.

Miscellaneous; Entire Agreement

If any part of this Agreement is determined to be illegal, void, invalid, or unenforceable, the rest of the Agreement will continue in full force and effect. This Agreement constitutes the entire agreement between you and us with respect to the Site and supersedes all prior communications regarding the Site.

Geographical & Export Restrictions

You agree that all Content and products posted or accessible via the Site are subject to applicable export control laws and regulations of the Indian Government.

Indian Law to be Applicable: Jurisdiction at New Delhi, One-Month Statute of Limitations

This Agreement is governed by the law of India. Your consent to this Agreement includes your consent to jurisdiction and venue in the courts in New Delhi in all disputes arising out of or relating to this Agreement. We make no claims that this Site is appropriate for viewing, accessing, or purchasing from outside India.

Any cause of action or claim you may bring in connection with the Site, including any Content, order, or purchase, must be commenced within one (1) month after the claim or cause of action arises; otherwise, such claim shall be deemed barred. In any dispute between us and you relating to this Site, the prevailing party will not be entitled to attorneys’ fees, costs, and expenses.
